  3.                    EMPLOYEE STOCK OPTION

  5. International Affiliated, Inc., referred to as EMPLOYER, and
  6. Wallace Beaver, referred to as EMPLOYEE agree:

  8. In consideration of meritorious service by EMPLOYEE on behalf of
  9. EMPLOYER, EMPLOYER grants to EMPLOYEE the option to purchase
  10. Common stock of EMPLOYER. 
  11.  
  12. The option may be exercised after the EMPLOYEE has served 12
  13. months of total employment. 
  14.  
  15. EMPLOYEE shall be eligible to purchase 50 shares of stock every 3
  16. months, or in the event of stock splits or other
  17. re-capitalization, an equal amount of shares, at 50% per cent of
  18. market value.
